Terms of Service

1.Acceptance

By creating an account, using the EggBox website, the desktop tools, or any service we provide, you agree to these Terms. If you do not agree, do not use EggBox. You must be at least 18 years old, and you must have the authority to accept these Terms on behalf of any organisation you represent.

2.The service

EggBox provides tools that analyse, correct and convert audio for broadcast workflows, and produces measurements and reports (for example loudness, PPM and true-peak readings) alongside document output such as PDF reports.

EggBox is a measurement tool, not a certification authority. Reports and readings are generated automatically from the audio you supply and are provided for information only. We do not guarantee that any output satisfies any broadcaster, platform, regulator, delivery specification or legal requirement, and we accept no responsibility for content you deliver to third parties. You remain solely responsible for the compliance, accuracy and suitability of your own material and deliverables.

3.Accounts and security

You are responsible for keeping your login details, recovery codes and studio key confidential, and for all activity that happens under your account, including activity by anyone you invite to your studio. Tell us immediately at support@eggbox.app if you believe your account has been compromised.

4.Acceptable use

You agree not to:

• use EggBox for anything unlawful or to process material you do not have the right to process;
• attempt to damage, overload, reverse-engineer or gain unauthorised access to our systems or another user's account;
• resell, sub-license or white-label EggBox without our prior written agreement;
• misrepresent EggBox outputs as official certification or endorsement by any third party.

We may suspend or terminate accounts that breach these rules, without notice and without refund.

5.Fees, tokens and billing

Where EggBox services are chargeable, fees are as shown at the point of purchase. Token balances, subscriptions and packs are governed by the pricing and policies shown at the time of purchase. Prepaid balances do not earn interest and, except where required by law, are non-refundable and expire if your account is closed. Prices may change with reasonable notice; changes do not apply to amounts already paid.

6.Intellectual property

You retain all rights in the audio and other material you upload. EggBox retains all rights in the software, website, designs, reports templates and documentation. We may process your material only to provide the service. Feedback you give us may be used to improve EggBox without payment or obligation.

7.Data

We process your files and account information to run the service: analysing audio you submit, storing account and billing details, and keeping limited logs for security and billing. Files are processed transiently and may be retained for delivery and support purposes. We do not sell personal data. For data requests, contact support@eggbox.app. You are responsible for having the necessary rights and consents in any material you upload, including any personal data it contains.

8.Availability

We aim to keep EggBox available but give no guarantee of uptime, speed or uninterrupted access. We may suspend, alter or discontinue any part of the service at any time, and we may terminate accounts with reasonable notice. We are not liable for losses caused by downtime, maintenance, bugs, or removal of features.

9.No warranty

EggBox is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, merchantability and non-infringement. We do not warrant that the service will be error-free, that outputs will meet any specification, or that use of the service is lawful in every jurisdiction — you are responsible for your own compliance. Nothing in these Terms affects your statutory rights that cannot be excluded by law.

10.Limitation of liability

To the maximum extent permitted by law:

• we are not liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, revenue, data, goodwill, business opportunity, or wasted management time, however caused;
• our total aggregate liability to you for all claims arising out of or in connection with EggBox in any twelve-month period is limited to the greater of the fees you actually paid us in that period and £100;
• nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded or limited.

You agree not to hold EggBox responsible for any decision, deliverable, rejection, penalty, claim or loss arising from your use of EggBox outputs, including missed broadcast deadlines or non-compliant deliveries.

11.Indemnity

You agree to indemnify and hold harmless EggBox, its owners and contributors against any claims, damages, costs or expenses arising from your breach of these Terms, your misuse of the service, or material you upload or deliver.

12.Third-party links

EggBox may link to third-party sites and services. We do not control and are not responsible for them.

13.Changes

We may update these Terms from time to time. Material changes will be flagged on the website with a reasonable notice period where practical. Continued use of EggBox after changes take effect means you accept the updated Terms.

14.Governing law

These Terms are governed by the law of England and Wales, and any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
